Exemptions Clauses and Unfair Terms

“So, you think you know about: Exemptions Clauses and Unfair Terms”

If you work in commercial law and draft contracts and consumer notices, you will recall that the Unfair Contract Terms Act 1977 limits the extent to which you can exclude or limit liability. Do you understand how the Consumer Rights Act 2015 now regulates these notices and clauses in contracts between businesses and consumers?

This CPD will explain the law in this area for business to business contracts and business to consumer contracts.

Major Terms in Commercial Contracts

“So, you think you know about: Major terms in commercial contracts”

If you are responsible for drafting commercial contracts or advising clients in relation to contractual disputes, this course will introduce you to the key clauses and commercial considerations required for drafting.

The course starts with a short (six minutes) topic recording which covers the following: what a commercial contract is; major commercial obligations; important terminology; payment clauses; warranties; termination clauses; jurisdiction; liquidated damages; boilerplate clauses; the Unfair Contract Terms Act 1977; and avoiding drafting pitfalls.

We then go into more detail reviewing the commercial considerations and individual clauses. The clauses discussed include payment clauses, warranties, termination clauses and liquidated damages clauses. We will also cover boilerplate clauses as well as give you tips on avoiding pitfalls in drafting. These will be accompanied by questions to help you reflect on what you have learned.

Finally, we will give you an example scenario and a small research task.

Mistake

“So, you think you know about: Mistakes”

If you work in commercial law and litigation, you will know that sometimes disputes arise over contracts where the parties have different understandings of what they have agreed to. Sometimes both parties have made the same mistake, for example where the subject matter of the contract no longer exists; in other disputes only one party has made a mistake.

This CPD will give you a clear summary of when mistake can be used as a contractual remedy and when it cannot.
